1. About these Terms

These Terms & Conditions ("Terms") govern your access to and use of the Ploxi Earth platform at www.ploxi.earth (the "Platform"), including its websites, portals, forms, and tools. The Platform is operated by Ploxi Consult ("Ploxi", "we", "us", "our").

By accessing or using the Platform, you agree to be bound by these Terms and our Data Policy. If you do not agree, please do not use the Platform.

If you use the Platform on behalf of a company or other organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Who we are

Ploxi Earth is operated by Ploxi Consult, Embassy Golf Links Business Parks, Domlur, Bengaluru, Karnataka, India.

3. What the Platform offers

Ploxi Earth is a sustainability platform that connects businesses with sustainability vendors, consultants, and climate-finance resources. It includes vendor discovery and onboarding, registration flows for corporate, cleantech, and climate-finance participants, a GHG (greenhouse gas) emissions calculator, carbon-market project listings, and related tools and content.

The Platform facilitates introductions and workflows. The actual provision of any consulting service, vendor service, financing, or transaction is governed by separate written agreements between you and the relevant counterparty, and is not the responsibility of Ploxi unless Ploxi is a named party to that agreement.

4. Accounts and registration

To access certain features (such as vendor, corporate, or admin portals), you must register and maintain an account. You agree to provide accurate, current, and complete information, and to keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@ploxi.earth if you suspect any unauthorized use of your account.

We may verify the information you provide (including through one-time passwords sent to your email) and may approve, reject, limit, or suspend any registration or account at our discretion, including where we reasonably believe these Terms have been breached.

5. Acceptable use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. Specifically, you will not:

• submit false, misleading, or fraudulent information, including in registrations, enquiries, or emissions data entered into our tools;
• access or attempt to access data, accounts, or systems belonging to another user or to Ploxi;
• use automated means (such as scrapers or bots) to access, extract, or monitor the Platform without our prior written consent;
• interfere with or disrupt the integrity or performance of the Platform, including probing or scanning its security;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• infringe any intellectual property, privacy, or other rights of any person; or
• use the Platform in violation of any applicable law or regulation.

6. Your content and data

You remain the owner of the business information, documents, and emissions data you submit to the Platform ("Your Data"). You are responsible for its accuracy and for having the rights to share it.

You grant Ploxi a limited licence to process Your Data solely to operate and provide the Platform (for example, to review registrations, administer onboarding, run calculations, and display results in your portal). How we handle Your Data is described in our Data Policy.

Do not submit information that is confidential to third parties, or personal data of individuals who have not agreed to its sharing, unless you have the right to do so.

7. Tools and calculators

The GHG Calculator and other tools on the Platform produce indicative estimates based on the inputs you provide and on published emission factors and methodologies.

These outputs are not a verified or certified emissions inventory, and they may differ from figures prepared under specific regulatory or reporting frameworks. Emission factors and methodologies change over time, and results are only as accurate as your inputs.

Do not rely on tool outputs as your sole basis for regulatory compliance, disclosure, contractual commitments, or investment decisions. Engage a qualified professional for those purposes.

8. Carbon-market listings

Carbon-credit project listings, prices, vintages, volumes, and registry statuses shown on the Platform are provided for general information, are compiled from third-party registries and suppliers, and may be incomplete or out of date.

Nothing on the Platform constitutes investment, financial, legal, or tax advice, and no listing is a recommendation or offer by Ploxi. We do not guarantee the availability, quality, issuance, or eligibility of any carbon credit. You are solely responsible for your own due diligence before entering any transaction.

9. Third-party services

The Platform relies on and may link to third-party services (such as cloud hosting, email delivery, e-signature, and meeting-scheduling providers). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for their content or performance.

10. Intellectual property

The Platform, including its software, design, content, branding, and trademarks, is owned by Ploxi Consult or its licensors and is protected by applicable intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for your personal or internal business purposes. You may not copy, modify, distribute, sell, or create derivative works from the Platform, or use it to build a competing product or service, without our prior written consent.

11. Disclaimers

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by applicable law.

We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free.

12. Limitation of liability

To the maximum extent permitted by applicable law, Ploxi shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising from your use of the Platform.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the Platform shall not exceed the fees you paid us, if any, in the twelve months preceding the claim, or INR 10,000, whichever is lower.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify and hold harmless Ploxi and its team members from any claims, damages, losses, and expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Platform, or Your Data that you submit to the Platform.

14. Suspension and termination

We may suspend, restrict, or terminate your access to the Platform if you breach these Terms, if required by law, or to protect the Platform or other users, with notice where practicable.

You may stop using the Platform at any time. Sections that by their nature should survive termination (including sections 6, 10, 11, 12, 13, and 15) will survive.

15. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of these Terms or the Platform.

16. Changes to these Terms

We may update these Terms from time to time. We will notify registered users of material changes by email or through the Platform. Your continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.
